PT Semua Jadi Instan
Sejadi Terms and Conditions
This is an English translation of the Indonesian terms. If the two differ, the Indonesian version prevails, as section 12 says.
1. General
These terms and conditions ("Terms") apply to the use of the sejadi.co.id and relay.sejadi.co.id websites and the services that PT Semua Jadi Instan ("Sejadi" or "we") provides to businesses. By using our sites or services, you accept these Terms. If you act on behalf of a company, you confirm that you are authorised to bind it.
Effective from: 31 October 2026.
2. Definitions
- Client: a company that uses Sejadi's services under an offer, an agreement, or a sign-up.
- Services: software development, maintenance, and WhatsApp messaging services, including OTP codes, provided by Sejadi.
- End user: a person who receives WhatsApp messages or OTP codes from a Client.
- Meta: the provider of the WhatsApp Business Platform.
3. Using the sites
- Use the sites reasonably. Do not disrupt or hack the sites, or send spam through their forms.
- The text, design, and logos on the sites belong to Sejadi and may not be copied for commercial use without written permission.
- Information on the sites is general and is not a binding offer.
4. Projects and written agreements
Project work such as development and maintenance is governed by the offer, PRD, SOW, or written agreement signed by both parties. If such a document differs from these Terms, the written document prevails.
5. Special terms for the WhatsApp service
- The Client's own account and number. The Client connects its own WhatsApp account and number through Meta's Embedded Signup. The account, number, and message templates remain the Client's, and are not shared with other businesses.
- Meta's rules. The Client must comply with the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy, and the WhatsApp Commerce Policy, as they change from time to time.
- Recipient consent (opt-in). The Client only messages people who have given it their number and agreed to receive messages from the Client, naming the Client, in line with WhatsApp's policies and applicable law. OTP codes are only sent to users who ask for them.
- Meta's message fees. Meta charges per-message fees directly to the Client, through the payment method on the Client's WhatsApp account. Meta may change its rates at its own discretion. Sejadi's service fees are separate and covered under Fees and payment.
- Prohibited use. The Client may not use the service for spam, fraud, phishing, or illegal content, send OTP codes nobody asked for, or try to get around sending limits.
- Limits and protection. Sejadi applies sending limits per destination number, per API key, and per country, as well as daily spending limits. If abuse appears, Sejadi may slow down or pause sending and will notify the Client.
- Meta's decisions. Meta may restrict, suspend, or remove the Client's account or templates under its policies. Sejadi is not responsible for Meta's decisions, but will help the Client deal with them.
- Availability. Message delivery depends on Meta, networks, and the recipient's device. Unless agreed in writing in a service level agreement, Sejadi does not guarantee that every message is delivered or arrives within a given time.
- API keys. The Client keeps its API keys confidential and is responsible for all use of its keys. If a key leaks, the Client must tell Sejadi at once so the key can be revoked.
6. Fees and payment
- Sejadi's service fees, including setup and monthly fees for the WhatsApp service, are stated in the offer or invoice.
- Invoices are paid in rupiah to the account stated on the invoice, within 14 days of issue unless the offer or agreement sets a different term, plus applicable taxes.
- Sejadi sends reminders before and after the due date. If an invoice is still unpaid 7 days after the last reminder, Sejadi may limit dashboard and broadcast features until it is paid. The Client's operational messages, such as OTP codes and transaction notifications, are not stopped because of late payment alone; other consequences are set out in the agreement with the Client.
- Meta's message fees are paid by the Client directly to Meta and are not included in Sejadi's invoices.
7. Personal data
- Sejadi processes personal data in line with the Privacy Policy and UU PDP.
- For the WhatsApp service, the Client is the controller of its end users' data, and Sejadi is the processor. Both parties sign a data processing agreement covering processing instructions, security, sub-processors, and notification of personal data breaches.
- The Client warrants that it has a valid legal basis for all personal data it sends to the service.
8. Intellectual property and confidentiality
- Sejadi's software, platform, and service documentation remain Sejadi's. The Client receives a right to use them while subscribed.
- Ownership of project deliverables is set out in the project agreement.
- The Client's data and content remain the Client's.
- Both parties keep confidential the other party's information received during the cooperation, unless the law requires disclosure.
9. Limitation of liability
- Sejadi is liable for direct losses caused by Sejadi's negligence, up to the fees the Client paid Sejadi in the 12 months before the event.
- Sejadi is not liable for indirect losses, lost profits, or disruptions caused by others such as Meta, carriers, or infrastructure providers, or by force majeure.
- The Client indemnifies Sejadi against third-party claims arising from the Client's breach of these Terms, WhatsApp's policies, or the law.
- These limits do not apply to the extent that applicable law prohibits them.
10. Ending the service
- The Client may stop with 30 days' written notice. Fees already paid are not refunded, unless agreed otherwise.
- Sejadi may immediately suspend or end the service if the Client breaches WhatsApp's policies or abuses the service. For unpaid invoices, section 6 and the agreement with the Client apply.
- After the service ends, the Client keeps its WhatsApp account and number and can revoke Sejadi's access in WhatsApp Manager. Sejadi deletes the Client's data in line with the Privacy Policy.
11. Governing law and disputes
These Terms are governed by the laws of the Republic of Indonesia. Disputes are first settled by deliberation within 30 days. If that fails, they are settled at the Surabaya District Court (Pengadilan Negeri Surabaya).
12. Changes and contact
- Sejadi may change these Terms. The latest version is always on this page with its effective date, and important changes are emailed to Clients 30 days before they take effect.
- These Terms are made in Indonesian. If there is a translation, the Indonesian version prevails.
